This User Authorization and Consent Agreement ("Agreement") with an effective date as of the date executed on the signature page hereof, is made by and between Bridgenix (Platform), and user referenced below ("User") as the individual or entity accessing or using Bridgenix services.
Bridgenix operates a sophisticated digital asset exchange platform providing institutional grade over the counter ("OTC") trading, fiat conversion, cross-border remittance, and application programming interface ("API") integration services ("Services").
By registering for or using Bridgenix Platform, you acknowledge that you have read, understood, and agree to be bound by the terms set forth in this Agreement. This Agreement govern the access and use of all registered Accounts (which include but not limited to wallet, escrow, security, and any accounts for various purposes maintained with the Platform) on the platform. If you fail to indicate your acceptance to the terms of this Agreement, you will be prohibited from accessing and utilizing the Platform.
Subject to the terms and conditions of this Agreement, User will have the right to access Platform, to place and update orders on Platform, receive status updates on orders, cancel orders, execute transactions and access custody accounts. User hereby authorize Bridgenix to collect, store, access, and use user's personal, financial and technical information for the purpose of identity verification, regulatory compliance, fraud prevention, transaction facilitation, and internal analytics. Such information may include, but is not limited to, user name, identification number, contact information, KYC/AML documentation, wallet addresses, transaction data, tax IDs, IP addresses, banking details and biometric data. Bridgenix may disclose this information to third parties, including bank and financial institution payment parties, service providers, custodians, liquidity partners, cloud infrastructure providers, and regulatory authorities, as necessary to fulfill legal, operational, or transactional requirements. All third parties will be required to observe strict confidentiality obligations in handling such data of the User.
In addition, User expressly authorize Bridgenix to act on User's behalf in receiving, holding, and managing digital assets in custody accounts associated with User profile. Bridgenix is further authorized to execute transactions, including the conversion of digital assets to fiat currency through licensed institutional partners, and to facilitate the deposit of fiat funds into designated accounts, including sub-accounts held under a master account arrangement. These actions may also include disbursing funds to recipients or channels as directed by you via the Bridgenix Platform, subject to and in compliance with applicable laws.
User represent and warrant that User have full legal capacity and authority to enter into this Agreement, and that all information submitted to Bridgenix is accurate, current and complete. User acknowledge that the nature of digital asset trading carries inherent risk, which includes but not limited to, market volatility, counterparty, regulatory and finality risks. User agree that Bridgenix will execute transactions in good faith and in accordance with your instructions. Bridgenix shall not be liable for any trading losses, losses from third party failures, losses from blockchain forks or network congestion, and any indirect, incidental, or consequential losses arising from its handling of User information or execution of transactions, except where such losses result from gross negligence or intentional misconduct on the part of Bridgenix.
User may not sell, lease, furnish, or otherwise permit or provide access to the Bridgenix platform or services to any unauthorized individual or entity that is not your employee, agent, customer, or authorized participant. User accept full responsibility for any use of the platform by your employees, customers, agents, or sponsored users, and such use must comply with this Agreement and any applicable Platform rules or regulations. User agree to implement reasonable security precautions to prevent unauthorized access or misuse, including the protection of login credentials and data access tools. User are solely responsible for all orders, trades, messages, or instructions submitted under user authorized credentials, except where such actions result from Bridgenix's fraud, willful misconduct, or breach of this Agreement. User shall not use the Platform and Services for purposes of evading sanctions, facilitating unlicensed gambling and money transmission, pump-and-dump schemes via OTC desk and reverse engineering proprietary trading algorithms.
Restricted Jurisdictions
The Platform and related Services shall not be accessed or used by any individual or legal entity that resides in, is incorporated in, or has its principal place of business in any of the following countries or regions (collectively, the "Restricted Jurisdictions"):
Abkhazia, Afghanistan, Albania, Algeria, Andorra, Angola, Australia, Austria, Azerbaijan, Bahamas, Bahrain, Bangladesh, Barbados, Belarus, Belgium, Belize, Benin, Bermuda, Bhutan, Bolivia, Bosnia and Herzegovina, Botswana, British Virgin Islands, Brunei, Bulgaria, Burkina Faso, Burundi, Cameroon, Cape Verde, Cayman Islands, Central African Republic, Chad, China (People's Republic of China), Comoros, Republic of the Congo, Democratic Republic of the Congo, Cook Islands, Costa Rica, Croatia, Cuba, Cyprus, Czech Republic, Denmark, Djibouti, Dominica, Dominican Republic, Ecuador, Egypt, El Salvador, Equatorial Guinea, Eritrea, Estonia, Eswatini, Ethiopia, Faroe Islands, Fiji, Finland, France, Gabon, Gambia, Germany, Greece, Greenland, Grenada, Guam, Guatemala, Guinea, Guinea-Bissau, Guyana, Haiti, Honduras, Hong Kong, Macau, Taiwan, Hungary, Iceland, Iran, Iraq, Ireland, Isle of Man, Israel, Italy, Jamaica, Japan, Kiribati, Kosovo, Kuwait, Latvia, Lebanon, Lesotho, Liberia, Libya, Liechtenstein, Lithuania, Luxembourg, Madagascar, Malawi, Maldives, Mali, Malta, Marshall Islands, Mauritania, Mauritius, Micronesia, Moldova, Monaco, Mongolia, Montenegro, Morocco, Mozambique, Namibia, Nauru, Nepal, Netherlands, New Zealand, Nicaragua, Niger, Niue, North Korea (Democratic People's Republic of Korea), North Macedonia, Northern Cyprus, Norway, Oman, Palau, Palestine, Panama, Papua New Guinea, Paraguay, Poland, Portugal, Puerto Rico, Qatar, Romania, Russia, Rwanda, Saint Kitts and Nevis, Saint Lucia, Saint Vincent and the Grenadines, Samoa, San Marino, São Tomé and Príncipe, Saudi Arabia, Senegal, Serbia, Seychelles, Sierra Leone, Singapore, Slovakia, Slovenia, Solomon Islands, Somalia, South Africa, South Korea, South Ossetia, South Sudan, Spain, Sri Lanka, Sudan, Suriname, Sweden, Switzerland, Syria, Tajikistan, Timor-Leste, Togo, Tonga, Trinidad and Tobago, Tunisia, Turkmenistan, Tuvalu, Ukraine, United Arab Emirates, United Kingdom, Uruguay, Uzbekistan, Vanuatu, Vatican City, Western Sahara, Venezuela, Yemen, Zambia, Zimbabwe.
User Acknowledgement and Responsibility
The User represents and warrants that neither the User nor any legal entity represented by the User is a resident of, incorporated in, or has its principal place of business in any Restricted Jurisdiction.
If the User accesses or uses the Platform or Services from a Restricted Jurisdiction due to cross-border access, technical means, or otherwise, any and all legal responsibilities, risks, and consequences arising therefrom shall be borne solely by the User, and the Platform shall bear no liability whatsoever.
Platform may amend or modify this Agreement at any time by posting the revised agreement on the Platform and/or providing a copy to user (a "Revised Agreement"). User continued use of the Exchange shall be deemed acceptance of the Revised Agreement. User agree that all modifications or changes to this Agreement are in force and enforceable immediately upon posting the Revised Agreement. The Revised Agreement supersedes any prior versions immediately upon posting, and the prior version is of no continuing legal effect unless the Revised Agreement specifically refers to the prior version and explicitly states that the prior version (or portions thereof) will remain in effect.
This Agreement shall remain in effect until terminated in accordance with the terms of this Agreement.
This Agreement is terminated and closed in the following events:-
User do not wish to be bound by the terms of this Agreement or Revised Agreement for whatever reason.
User is in breach of this Agreement or Revised Agreement and is unable or unwilling to rectify such breach(es) within the timelines stipulated by Bridgenix.
User is suspected of involvement in or facilitating any money laundering or terrorism financing activities or API abuses, in the sole opinion of Bridgenix or as notified by the relevant authorities.
User is subject to any insolvency proceedings or unable to pay its debts for whatever reason.
Bridgenix is requested or ordered by the relevant regulatory authorities or under law to terminate this Agreement or Revised Agreement.
Either Bridgenix or User serve a seventy-two (72) hour written notice to terminate this Agreement or Revised Agreement.
Post Termination. User access and credentials to all Accounts and Platform are revoked immediately. Bridgenix is entitled and empowered to retain relevant data and records for seven (7) years or such requisite number of years in accordance with applicable laws. Remaining balances and funds accruing to User shall be remitted by Bridgenix to User within forty-five (45) days, less transaction expenses and outstanding fees, from the date of termination of this Agreement.
This Agreement is governed by the laws applicable to Bridgenix's operating entity, and forms part of the overall legal framework governing your use of Bridgenix Platform and Services, including the Terms of Use and Privacy Policy. By continuing to use the Bridgenix Platform, you confirm your acceptance of this Agreement and your consent to the collection, use, and handling of your information, as well as the execution of transactions on your behalf as outlined herein.
